1.1ROADTRUTH (the "Service") is operated by Josmol Group Inc. ("we"). It provides vehicle reliability intelligence: health scores, maintenance predictions, alerts and reports, computed from telematics and service data that a fleet ("you") authorizes us to read.
1.2If you install ROADTRUTH from an app marketplace or our website, or connect an account, you accept our Master Subscription Agreement (myroadtruth.com/msa), including its ROADTRUTH product terms and these Terms. If your organization has signed an Order Form with us, that Order Form and the Master Subscription Agreement govern, and these Terms apply only where they do not conflict.
2.1ROADTRUTH costs US $8.00 per Connected Vehicle per month, plus applicable tax, unless your Order Form says otherwise. In Nigeria, the price is shown in naira in THE OFFICE → BILLING before you add a card. A Connected Vehicle is a vehicle assigned to your fleet in ROADTRUTH at any time during the month, whether or not it sent data. To stop paying for a vehicle, email joseph@josmolgroup.com and we will remove it from your fleet; it stops counting from the next bill. There is no free trial for ROADTRUTH unless your Order Form says otherwise.
2.2Marketplace and website installs are billed monthly to the card you provide, through Stripe (US) or Paystack (Nigeria), and renew each month until you cancel. Each bill uses the number of Connected Vehicles on your fleet on its billing date, which you can see in THE OFFICE → BILLING at any time. If a charge fails, we retry it daily for 7 days before your plan lapses. You can cancel at any time; cancellation takes effect at the end of the paid month.
2.3Invoiced customers pay as set out in their Order Form.
3.1You confirm that you are authorized to connect each telematics account and to submit the data you provide. Our access is read-only; we cannot change anything in your telematics account. You may disconnect at any time.
3.2Your data stays yours. We use it to provide the Service to you, as described in our Privacy Policy and Data Processing Addendum.
3.3Where you connect through an app marketplace (for example the Motive App Marketplace), we use the data we receive only as that marketplace's partner terms allow, and stop using it when you disconnect.
The Service produces probabilistic assessments. We publish our prediction record (confirmed, missed and pending) because no prediction system is certain, including ours. Scores and predictions support qualified maintenance personnel. They are not a warranty of any vehicle's condition, a substitute for inspection, or a certification of roadworthiness. Maintenance, dispatch and safety decisions remain yours. Do not delay inspecting or repairing a suspected safety defect because of a score.
Parts of the Service run as a field-validation program and are labelled as such. Simulated or demonstration content is marked on its face. Published accuracy figures reflect the record to date and will change as it grows.
You will not use the Service to break the law, infringe others' rights, probe or disrupt the Service, resell access without our written agreement, or connect accounts you are not authorized to connect. You are responsible for keeping your logins and office PINs secret.
The Service, its software, scoring methods, agent architecture and branding belong to Josmol Group Inc. and its licensors, including Omega Wellness Center Inc. You receive a limited, non-exclusive, non-transferable right to use the Service for your fleet's internal operations.
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. To the maximum extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, cargo, downtime or vehicle damage. Our total liability will not exceed the amounts you paid us for the Service in the 12 months before the claim, or US $100 if you paid nothing. Nothing here limits liability that cannot be limited by law.
You may stop using the Service and disconnect at any time. We may suspend or end access for breach of these Terms or non-payment, with notice where practicable. Sections 4, 7, 8, 10 and 11 survive termination.
Texas law governs these Terms, without regard to conflict-of-law rules. Disputes go to the state or federal courts of El Paso County, Texas.
